1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the websites, products, services and applications (collectively "Services") provided by Netro Solutions (referred to as "we", "us", "our", or "Netro Solutions"). By accessing or using the Services you agree to be bound by these Terms. If you do not agree with these Terms, do not use the Services.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use the Services. By using the Services you represent and warrant that you meet these eligibility requirements.
3. Accounts & Registration
Some Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized use.
4. Orders, Payments & Refunds
When you purchase a product or service, a separate contract is formed between you and Netro Solutions describing the scope, pricing and terms of delivery. All fees are quoted in the order and must be paid as specified. Unless otherwise agreed, fees are non-refundable once services begin. We reserve the right to change pricing; changes will not affect orders already accepted.
5. Scope of Work & Deliverables
Project scope, milestones, deliverables and acceptance criteria will be described in a written agreement (proposal, statement of work or contract). Any additional work requested by you will be charged separately and added to the schedule as agreed.
6. Intellectual Property
Unless otherwise agreed in writing, Netro Solutions retains ownership of pre-existing technology, libraries, tools and methodologies used to deliver Services. Upon full payment, we grant you a non-exclusive license to the deliverables required by the agreement. You will retain ownership of any content you supply to us.
7. Confidentiality
Each party agrees to keep confidential any non-public information clearly marked or identified as confidential, and to use it only to perform obligations under the agreement. Confidential information does not include publicly available information or information lawfully received from a third party.
8. Warranties & Disclaimers
We will provide Services with reasonable skill and care. However, to the maximum extent permitted by law, the Services are provided "as is" and Netro Solutions disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Netro Solutions' total aggregate liability arising from or related to these Terms or the Services will not exceed the fees actually paid by you to Netro Solutions under the applicable agreement in the 12 months preceding the claim. Neither party will be liable for indirect, incidental, special or consequential damages.
10. Indemnification
You agree to indemnify and hold Netro Solutions harmless from claims, losses, liabilities, and expenses arising out of your breach of these Terms, your violation of any law or the rights of a third party, or your use of the Services.
11. Termination
Either party may terminate an agreement for material breach if the other party fails to cure within a reasonable period. Termination of services does not relieve you of any payment obligations incurred prior to termination.
12. Data & Privacy
We process personal data as described in our Privacy Policy. By using the Services you agree to the terms of our Privacy Policy concerning collection, use, storage and disclosure of personal data.
13. Third-party Services & Links
The Services may link to third-party websites and services. We are not responsible for the content or practices of third parties. Use third-party services according to their terms and privacy policies.
14. Changes to the Terms
We may revise these Terms from time to time; material changes will be communicated by posting a notice on our website or via email. Continued use of the Services after changes constitutes acceptance of the updated Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law rules. Any disputes arising out of or related to these Terms will be resolved in the courts located in Dhaka, Bangladesh, to the extent permitted by law.
16. Miscellaneous
- These Terms, together with any written agreement between you and Netro Solutions, constitute the entire agreement.
- If any provision is held invalid it will not affect the remainder of the Terms.
